OUTsurance Group: Acquires Remaining Minority Shares in Subsidiary

Once implemented, the transaction will give the Outsurance Group Limited (OGL), listed on the JSE, 100% ownership of OHL and bring all participating shareholders into the listed entity. The remaining 7.17% of OHL is held by a group of 55 individuals comprising an original founder, current executives, managers and employees, together with their affiliates. Under the voluntary exchange, participating shareholders will exchange their unlisted OHL shares for newly issued, listed OGL shares on a value-for-value basis. OUTsurance Group Limited share price The transaction is subject to approval by OGL shareholders at the AGM expected to be held on 24 November 2026, and will be implemented soon thereafter. Marthinus Visser, Group chief executive officer, says: “This transaction completes the simplification journey we set out in 2022 and demonstrates our continued delivery against the priorities communicated to shareholders. By bringing OHL shareholders to the listed level, we are creating a cleaner and more efficient ownership structure, simplifying reporting and reducing costs.
